1. Acceptance of Terms
By accessing and using the services of AuditPro Financial Services ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement.
If you do not agree to these terms, please do not use our services or access our website.
2. Description of Services
AuditPro Financial Services provides professional financial audit services, including but not limited to:
- Financial statement audits and reviews
- Compliance audits and assessments
- Risk management consulting
- Financial analysis and reporting
- Internal control evaluations
3. Professional Standards
Our services are provided in accordance with:
- Canadian Auditing Standards (CAS)
- CPA Canada professional standards
- International Financial Reporting Standards (IFRS)
- Applicable provincial and federal regulations
4. Client Responsibilities
As our client, you agree to:
- Provide accurate and complete financial information
- Grant reasonable access to records and personnel
- Respond promptly to our requests for information
- Pay fees according to agreed terms
- Maintain confidentiality of our working papers and methodologies
5. Fees and Payment Terms
Payment terms and conditions:
- Fees are based on the scope of work and complexity of engagement
- Payment is due within 30 days of invoice date unless otherwise agreed
- Rush services incur additional fees as specified
- Late payments may be subject to interest charges
- We reserve the right to suspend services for overdue accounts
6. Limitation of Liability
Our liability is limited as follows:
- Our liability shall not exceed the fees paid for the specific engagement
- We are not liable for consequential, indirect, or punitive damages
- Claims must be brought within one year of service completion
- Our responsibility is limited to the specific scope of our engagement
Note: Nothing in this agreement excludes liability for fraud or gross negligence.
7. Confidentiality
We maintain strict confidentiality of all client information:
- All client information is treated as confidential
- Information is not disclosed without written consent
- Disclosure may be required by law or professional standards
- Our team members are bound by professional confidentiality obligations
8. Professional Independence
We maintain professional independence in accordance with CPA Canada standards:
- We assess independence before accepting engagements
- Any conflicts of interest are disclosed immediately
- We may decline engagements that compromise independence
- Our professional judgment is not influenced by client relationships
9. Termination
Either party may terminate the engagement:
- With written notice as specified in the engagement letter
- Immediately for breach of these terms
- We may terminate if professional standards are compromised
- Fees are due for work completed up to termination date
10. Intellectual Property
Intellectual property rights:
- Our methodologies and working papers remain our property
- Client data and information remain the client's property
- Final reports become the property of the client
- We retain the right to use anonymized data for quality improvement
11. Governing Law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes will be resolved in the courts of Ontario, Canada.
